Kewill Systems - Substantial upgrade following acquisition

Kewill has acquired TradePoint, headquartered in the US, for an initial $12.3m ($11.8m in cash and $500,000 new shares). There is also a deferred consideration of up to US$1.8m based on revenue growth over the next two years. Established in 1972, Tradepoint supplies trade facilitation software and services to international freight forwarders, customs house brokers, exporters and importers. The solution enables customers to simplify the process of moving goods over international borders. TradePoint has 650 customers in the USA and Europe, a 25% share of the US Customs clearance market. The price being paid looks low as the initial consideration is equal to 1x TradePoint's 2003 revenues (of which 70% are recurring or repeat) ...
