Computer Software Group - 150p offer from management

CSW has announced a recommended cash offer of 150p a share or £99.6m, a premium of 87% over the price at which we recommended the shares in March ‘06. The offer represents an exit multiple of c.13 the expected profit for the current year. The acquisition vehicle, which comprises current members of the CSW team, is backed by HgCapital funds and has already received acceptance from shareholders accounting for 50.8% of the shares. The CSW board comprises at least two directors of Elderstreet and they clearly know a good deal when they see it.
